Version et-2026-09-v1 · Effective 25 September 2026 · Governing law the laws of the Federal Democratic Republic of Ethiopia · Languages English and Amharic (the English text prevails — clause 24)
Operator: SIMINT SEMANYA SIMINT GENERAL TRADE ONE MEMBER PLC, trading as 888 Market — commercial registration AACATB/2/0203514/2017; taxpayer identification number (TIN) 0096176343; registered address House New/07, Woreda 13, Nefas Silk-Lafto Sub-City, Addis Ababa, Ethiopia.
1. About this agreement
1.1 This agreement is between SIMINT SEMANYA SIMINT GENERAL TRADE ONE MEMBER PLC, trading as 888 Market (“888 Market”, “we”, “us”), and the person or business that accepts it through a seller account on the 888 Market seller portal (“you”, the “seller”). It governs how you sell goods to buyers in Ethiopia through the 888 Market marketplace at 888market.com.et and the 888 Market apps.
1.2 You accept this agreement electronically in the seller portal (clause 25). By accepting it you confirm that you have read it and, if you accept for a business, that you are authorised to bind that business.
1.3 This agreement also refers to the 888 Market Seller Privacy Notice (Ethiopia), version et-pdpp-1321-2024-v1, which explains how we use your personal data, and to the settings, limits and policies shown in the seller portal. If a portal page conflicts with this agreement, this agreement prevails.
1.4 Nothing in this agreement removes or limits a right that Ethiopian law gives a buyer. A contract term that waives a consumer’s rights has no effect under the Trade Competition and Consumers Protection Proclamation No. 813/2013 (Art. 21) and the Electronic Transaction Proclamation No. 1205/2020 (Art. 33).
2. Words used in this agreement
- Buyer — a person who buys goods through the marketplace.
- Item price — the price you set for an item, in Ethiopian birr (ETB, “Br”), including VAT, multiplied by the quantity ordered.
- Order — a buyer’s order for one or more of your items, as recorded by the marketplace.
- Delivered — the courier has handed the order to the buyer and the delivery has been confirmed in the marketplace.
- Return window — the period during which a buyer may ask to return a delivered item (clause 10.1).
- Seller portal — the 888 Market seller website at seller.888market.com.et and any seller app we provide.
- Working day — a day other than Sunday or a public holiday in Ethiopia.
3. How the marketplace works: our roles
3.1 888 Market operates the marketplace and is the seller of record to the buyer. When a buyer orders your item, you sell that item to 888 Market and 888 Market sells it to the buyer at the item price you set. 888 Market is named as the seller on the buyer’s receipt, collects the price, and accounts for value added tax (VAT) on the whole sale (clause 11).
3.2 You supply the goods. You are responsible for the goods themselves: that they exist, are lawful, genuine, safe, correctly described, correctly labelled and properly packed.
3.3 Ownership and risk. Ownership of an item passes from you to 888 Market when the courier we send collects it from you, and from 888 Market to the buyer on delivery. Risk of loss or damage is yours until the courier collects the item, and then ours — except loss or damage caused by poor packing or by a defect in the item, which remains your responsibility.
3.4 Independent parties. You and 888 Market are independent businesses. This agreement does not make either of us the other’s employee, partner or agent, except that you authorise 888 Market to sell your items to buyers in its own name as described in clause 3.1.
4. Who may sell, and verification
4.1 Individual sellers. An individual seller must be at least 18 years old, sign in with an Ethiopian mobile number, have a pickup address in Ethiopia, and verify their identity with a Fayda national ID or a passport. Selling goods regularly as a business generally requires a business licence under the Commercial Registration and Business Licensing Proclamation No. 980/2016 (as amended). If you sell as an individual, it is your responsibility to decide, with your own advisers, whether you need a licence and to obtain one if you do.
4.2 Business sellers. A business seller must hold a valid Ethiopian business licence for its activity, a taxpayer identification number (TIN, 10 digits) and its commercial registration, and must give us the name and identity of the person who represents it and of its beneficial owners. A business seller must keep its licence valid for as long as it sells on the marketplace (clause 15).
4.3 Accurate information. Everything you give us — names, identity and business documents, licence and TIN details, bank details, store addresses and phone numbers — must be true, complete and current. Tell us through the seller portal as soon as anything changes.
4.4 Verification and screening. Before we activate your account, and at any time afterwards, we may check the information and documents you give us, ask for more, and screen your business, its representative and its declared owners against published sanctions lists (at present the United States OFAC Specially Designated Nationals list and the United Nations Security Council Consolidated List). We may refuse, delay or restrict an account that we cannot verify, or whose screening is not clear, and we are not always able to tell you the reason where the law does not allow it.
4.5 One seller, one account. Do not open a second seller account to avoid a restriction, and do not let another person sell through your account.
5. Your account, your staff and security
5.1 You sign in to the seller portal with your phone number and a one-time code that we send to it. Keep your phone and SIM card under your control. Never share a one-time code with anyone — 888 Market staff will never ask you for one.
5.2 For sensitive actions (for example changing your phone number or bank details) we may ask you to confirm again with a fresh one-time code or another check. You must complete these checks yourself.
5.3 You may invite staff to your seller account. You choose what they may do, and you are responsible for everything done in your account by you or by anyone you let in. Remove a staff member’s access as soon as they should no longer have it.
5.4 Tell us immediately through the seller portal (Support) if you think someone has used your account without permission or if you lose control of your phone number.
6. Listings
6.1 You create and manage your listings in the seller portal. Each listing must describe the item accurately and completely: what it is, its condition (new, used or refurbished), its main characteristics, its origin where relevant, and anything a buyer needs to know before buying. Photos must show the actual item offered.
6.2 Prices are set in Ethiopian birr and must be the full price a buyer pays for the item, including VAT (clause 11). At present the marketplace does not accept a price above Br 100,000 for a single item; we may change that limit.
6.3 You must not make false or misleading statements about an item, its price, a price reduction, its origin, its maker or its quality marks — these are prohibited acts under Proclamation No. 813/2013 (Art. 19 and Art. 22).
6.4 Keep stock levels accurate. Do not list items you cannot supply within your handling time.
6.5 We may review, edit the presentation of, refuse, suspend or remove any listing that breaks this agreement or the law, or that we reasonably believe is unsafe or misleading. We will tell you in the seller portal when we remove a listing and why.
7. Prohibited and restricted goods
7.1 You must not list or sell:
- goods whose sale is prohibited in Ethiopia, and goods that you are not legally allowed to sell;
- counterfeit or pirated goods, and goods that infringe anyone’s trade mark, copyright, design or other rights;
- stolen goods, or goods you do not have the right to sell;
- weapons, ammunition, explosives and their parts;
- narcotic drugs and psychotropic substances, and prescription medicines;
- goods that are dangerous to health or safety, of unknown source, substandard, poisoned, expired or adulterated, or recalled by their maker (Proclamation No. 813/2013, Art. 22);
- goods that must carry an Ethiopian standard mark or label and do not;
- used, rebuilt or refurbished goods described as new;
- currency, securities, payment cards, lottery tickets, and gift cards or vouchers of other businesses;
- identity documents, official documents, and personal data of any person;
- live animals, and products of protected wildlife;
- sexually explicit material; and
- anything else we list as prohibited in the seller portal.
7.2 Goods whose sale needs a licence, permit or registration (for example medical devices, food, food supplements, cosmetics, agricultural chemicals or telecommunication equipment) may be listed only if you hold that licence, permit or registration, can show it to us on request, and we have approved the category for you.
7.3 If you list a prohibited item, we will remove it and may restrict or suspend your account (clause 17). Where the law requires, we will report it to the competent authority.
8. Intellectual property and your content
8.1 You confirm that you own, or have permission to use, everything you upload — photos, descriptions, brand names, logos and other content — and that selling your items does not infringe anyone else’s rights.
8.2 You give 888 Market a non-exclusive, royalty-free licence to use, copy, adapt (for example resize, crop or translate), display and publish your listing content in the marketplace, in our apps, in search results and in our marketing of the marketplace, for as long as the listing is published and for a reasonable period afterwards to complete orders and keep records. You keep ownership of your content.
8.3 If someone tells us that a listing infringes their rights, we may remove it while we look into the complaint, and we may pass your contact details to the complainant or to an authority where the law requires.
9. Orders, fulfilment and delivery
9.1 Payment by buyers. At present buyers in Ethiopia pay cash on delivery: the buyer pays the courier when the order is delivered, and the courier hands the cash over to 888 Market. You must never ask a buyer to pay you directly, or collect money from a buyer, for an order placed through the marketplace. At present an order paid by cash on delivery cannot exceed Br 15,000; we may change that limit.
9.2 Accepting orders. When an order arrives, you must prepare it within the handling time you set in your fulfilment policy in the seller portal: 1, 2 or 3 of the days you have chosen there as your working days. Orders placed at or after the daily cut-off hour you set there (shown in UTC) count from your next chosen working day.
9.3 Handover to the courier. 888 Market arranges delivery. You must pack each order securely, label it as the seller portal instructs, and hand it to the courier we send, at the pickup address of your store, within your handling time. Follow the steps the seller portal shows for each order.
9.4 If you cannot fulfil an order. If an item is unavailable or you cannot fulfil an order, cancel it in the seller portal straight away and give the reason, so that we can tell the buyer. Orders that you cancel repeatedly, or that are not ready for collection within your handling time, may be cancelled by us and may lead to a restriction (clause 17).
9.5 Buyer cancellations. A buyer may cancel an order before it is collected from you, and in other cases the law allows. You are not paid for a cancelled order.
9.6 Delivery fees. Delivery fees are charged to the buyer by 888 Market and belong to 888 Market.
10. Returns, refunds and buyers’ rights
10.1 Return window. A buyer may ask to return an item within 15 days after it is delivered. This window is set by 888 Market for Ethiopia and is never shorter than the law requires. Under Proclamation No. 813/2013 (Art. 20(2)) a buyer may demand replacement or a refund of defective goods within 15 days of purchase; under the Electronic Transaction Proclamation No. 1205/2020 (Art. 29) a buyer may, depending on the nature of the goods, cancel an online purchase without giving a reason within seven days after receiving the goods. You may not narrow these rights.
10.2 Responding to return requests. You must respond to a return request in the seller portal within the decision deadline set in your returns policy there (between 1 and 168 hours; 24 hours unless you change it). If you do not respond in time, or if you and the buyer disagree, 888 Market decides the request, because we are the seller of record to the buyer. You may ask us to review our decision through Support within 14 days; if the review finds that the return was not your responsibility under clause 10.3, we will pay you for the item.
10.3 Who bears the cost. If an item is returned because it was defective, damaged before collection, wrong, incomplete, not as described or not genuine, you are responsible for it: you are not paid for the item, you must accept it back, and you must reimburse 888 Market for the reasonable cost of the return delivery and any compensation we have to pay the buyer because of it. For a change-of-mind return, the buyer may be charged the direct cost of returning the item where the law allows.
10.4 Refunds. 888 Market refunds the buyer. You are not paid for an item that is returned and refunded. If you have already been paid for it, we may deduct the amount from your next payouts (clause 13.8).
10.5 Warranties. If you offer a warranty or guarantee, describe it accurately in the listing and honour it. Failing to meet a warranty obligation is a prohibited act under Proclamation No. 813/2013 (Art. 22).
11. Prices and VAT
11.1 Prices include VAT. Under Ethiopian law, prices shown to consumers must include taxes and other lawful fees (Proclamation No. 813/2013, Art. 15(2)). The item price you set is therefore the full price the buyer pays for the item, with VAT included.
11.2 888 Market accounts for the VAT on the sale. 888 Market is registered for VAT. Because it sells to the buyer as the seller of record (clause 3.1), it accounts to the Ministry of Revenues for VAT at the standard rate of 15% under the Value Added Tax Proclamation No. 1341/2024 on the whole sale — your item price, any gift-wrapping fee and the delivery fee.
11.3 What that means for your payout. The VAT contained in your share of each sale is paid to the tax authority by 888 Market, so it is withheld from your payout, as clause 12 explains. It is not an extra fee.
11.4 Discounts funded by 888 Market. If 888 Market funds a discount or coupon for a buyer, 888 Market pays for it: your share is calculated on your full item price, not the discounted price.
12. Commission, and exactly how your payout is calculated
12.1 Commission. 888 Market charges a commission of 5% on the item price of each delivered order. The commission rate for your account is shown in the seller portal and on the agreement screen before you accept. The rate in force when an order is placed applies to that order, even if the rate later changes. We may change the rate only as clause 20 allows.
12.2 No other fees. At present 888 Market charges no listing fee and no payment fee, and bears the cost of transferring payouts to your Ethiopian bank account. Optional paid services, such as advertising, if we offer them, are priced separately and apply only if you choose them. We will not introduce a new fee except as clause 20 allows.
12.3 The payout formula. The price 888 Market pays you for the items in an order is your payout for that order. For each delivered order that has become payable (clause 13.2), it is calculated as follows:
- Item price (P) — the price of your items in the order, including VAT, before any discount funded by 888 Market.
- Commission (C) — 5% of P.
- Your share before VAT — P − C.
- VAT withheld (V) — the 15% VAT contained in your share: (P − C) × 15 ÷ 115.
- Your payout for the order — P − C − V, which equals (P − C) × 100 ÷ 115.
12.4 Worked example. An order for one item priced at Br 1,150: commission 5% = Br 57.50; your share before VAT = Br 1,092.50; VAT withheld = Br 1,092.50 × 15 ÷ 115 = Br 142.50; your payout = Br 950.00.
12.5 Gift wrapping. If a buyer pays for gift wrapping of your item and you provide it, the gift-wrapping fee is added to your share without commission, and the VAT contained in it is withheld in the same way.
12.6 Rounding. Our ledger records amounts to the millionth of a birr. VAT is calculated once on the whole taxable amount of an order and shared between your share and ours in proportion; your statement shows the exact amount for each order, which can differ from the formula above by less than one santim. The delivery fee the buyer pays is not part of your share and is not deducted from it.
13. Payouts
13.1 How we pay. 888 Market pays you by bank transfer to the Ethiopian bank account you gave us at onboarding (or a replacement account you add and we verify). Each transfer is recorded in our system and appears on your seller statement.
13.2 When an order becomes payable. The payout for an order becomes payable only when all of the following are true:
- the order has been delivered;
- the cash the buyer paid on delivery has been handed over to 888 Market; and
- the return window (15 days after delivery) has closed, and no return, refund request or dispute about the order is open.
13.3 Weekly cycle. We pay once a week, every Thursday, the total of the payouts that became payable since the previous payout day. If a Thursday is a public holiday in Ethiopia, we pay on the next working day.
13.4 Minimum. If the total due to you on a payout day is less than Br 100, it is carried to the next payout day.
13.5 Account holder. The name of the bank account holder must match your verified legal name — for an individual, the name on your verified identity document; for a business, its registered legal name. We will not pay into an account in anyone else’s name.
13.6 Transfer fees. 888 Market pays the fees for domestic transfers to your account. Charges your own bank makes to you are yours.
13.7 Failed or returned transfers. If a transfer fails or is returned, the amount goes back to your balance and we will ask you to correct your bank details. We will pay it on the next payout day after the details are corrected and verified.
13.8 Amounts you owe us. We may deduct from your payouts any amount you owe 888 Market under this agreement — for example for items returned after you were paid, or return costs under clause 10.3. Your statement shows every deduction.
13.9 Tax withholding. If Ethiopian tax law requires 888 Market to withhold tax from a payment to you, we will withhold it, pay it to the tax authority and give you a withholding receipt.
13.10 Holding payments. We may hold a payout, for no longer than necessary, if we reasonably suspect fraud, if a court or authority orders us to, or if we cannot verify your bank account. Otherwise money that is owed to you is paid even while your account is restricted (clauses 15 and 17).
14. Statements, records, receipts and your taxes
14.1 Your seller statement in the seller portal shows, for each order, the item price, the commission, the VAT withheld, your payout, and each transfer we make. Tell us through Support within 30 days if you think a statement is wrong.
14.2 Because 888 Market is the seller of record to the buyer, 888 Market issues the buyer’s receipt. Do not issue your own receipt to a buyer for an order placed through the marketplace.
14.3 You remain responsible for your own taxes, including income tax on your earnings and, if you are registered for VAT, your own VAT position. The payouts described in clause 12 do not include any amount of VAT payable to you. If you are registered for VAT and consider that your sales to 888 Market are subject to VAT, tell us in writing before your first payout so that the invoicing between us can be agreed; we will not pay an amount of VAT to you unless we have agreed it in writing.
14.4 Keep your own business records as Ethiopian law requires. Under the Commercial Code (Proclamation No. 1243/2021, Art. 66 and Art. 67), books of account, accounting documents and business correspondence are kept for ten years.
15. Business licence validity (business sellers)
15.1 A business seller must keep a valid Ethiopian business licence for its selling activity, and upload each renewed licence in the seller portal. 888 Market reviews each renewal.
15.2 Reminders. We will remind you in the seller portal, and by the other channels you have allowed, 30, 14, 7 and 1 days before the licence expiry date recorded for your business, and on the expiry date.
15.3 Grace period. If your licence expires without an approved renewal, a grace period of 7 days starts. During the grace period your existing listings stay on sale and existing orders must be fulfilled, but no new listings are published.
15.4 Restriction. If you have not uploaded a renewed licence by the end of the grace period, selling is restricted: your listings are taken off sale and you receive no new orders. You must still fulfil orders you have already received, and money already owed to you is still paid. The restriction is lifted automatically once an 888 Market officer approves your renewed licence.
15.5 A renewal that you uploaded during the grace period and that is still under review when the grace period ends does not trigger the restriction. If we reject the renewal, the restriction applies from the end of the grace period or, if later, from the rejection, until an acceptable renewal is approved.
16. Personal data
16.1 Your data. 888 Market is the controller of the personal data you give us about yourself, your staff and your business’s owners and representatives. The Seller Privacy Notice (Ethiopia), version et-pdpp-1321-2024-v1, explains what we collect, why, where it is stored, how long we keep it and your rights under the Personal Data Protection Proclamation No. 1321/2024.
16.2 Buyers’ data. 888 Market is the controller of buyers’ personal data. We share with you only what you need to fulfil an order (for example the order reference and the items ordered), and you may use it only to fulfil that order and handle its return. You must not contact buyers for any other purpose, send them marketing, copy their data into other systems, or keep it longer than needed for the order.
16.3 Security and incidents. Keep buyers’ data secure and limit access to staff who need it. If you learn that buyers’ data you received may have been lost, stolen or disclosed without authority, tell us through Support within 24 hours, so that we can meet our own duty to notify the Ethiopian Communications Authority within 72 hours (Proclamation No. 1321/2024, Art. 43).
16.4 People you declare. When you give us the details of another person — a representative, a beneficial owner or a staff member — you confirm that you are allowed to share them and that you have told that person that you are sharing them with 888 Market and where to read our privacy notice.
17. Suspension, restriction and closing your account
17.1 When we may restrict or suspend. We may restrict your account (for example take listings off sale or stop new orders) or suspend it if:
- information you gave us is false or you do not complete verification;
- your screening is not clear, or the law or a competent authority requires it;
- your business licence lapses (clause 15);
- you list prohibited goods, sell counterfeit goods, or mislead buyers;
- you commit or attempt fraud, or ask buyers to pay you directly;
- you seriously or repeatedly break this agreement, including repeated cancellations or late handovers; or
- your conduct puts buyers, couriers or the marketplace at risk.
17.2 Notice and a chance to fix it. We will tell you in the seller portal what we have done and why, unless the law does not allow us to. Where the problem can be fixed and the risk allows, we will give you a reasonable time to fix it before we restrict or suspend your account.
17.3 Appeal. You may ask us to review a restriction, suspension or closure by opening a Support request within 30 days. A person who was not involved in the original decision will review it, and we will tell you the outcome, normally within 14 days.
17.4 Closing by you. You may close your seller account at any time through Support. You must fulfil orders you have already received.
17.5 Closing by us. We may end this agreement for any reason with 30 days’ notice, or immediately if you seriously break it or the law requires.
17.6 Money when an account is restricted, suspended or closed. Money owed to you for delivered orders is still paid when it becomes payable under clause 13, less amounts you owe us and amounts we are required by law or by an order of an authority to withhold. Clauses 8.2 (for existing orders and records), 10, 12, 13, 14, 16, 18, 22, 23 and 24 continue to apply after this agreement ends.
18. Liability and indemnity
18.1 Each of us is responsible for the damage its failure to perform this agreement would normally cause (Civil Code, Art. 1799).
18.2 Neither of us is liable to the other for loss of profit, loss of business or loss of opportunity, or for damage it could not reasonably have foreseen, except in the case of fraud, gross negligence or wilful misconduct.
18.3 To the extent Ethiopian law allows, 888 Market’s total liability to you under this agreement in any 12 months is limited to the total commission you paid us in those 12 months. This limit does not apply to our obligation to pay you the payouts due under clause 13, or to liability that the law does not allow us to limit.
18.4 You must reimburse 888 Market for any amount it has to pay a buyer, a rights-holder or an authority — including reasonable legal costs — because of your goods, your listings, a breach of this agreement by you, or your breach of the law. We will tell you promptly about any such claim and give you a reasonable opportunity to take part in answering it.
18.5 The marketplace is provided with reasonable skill and care, but we do not promise that it will always be available or free of errors, or any particular level of sales.
19. Events beyond control
Neither of us is responsible for failing to perform this agreement while it is prevented by force majeure — an event that could not normally be foreseen and that makes performance absolutely impossible (Civil Code, Art. 1792 and Art. 1793), such as natural disaster, war, civil unrest or an act of government. The affected party must tell the other as soon as it can and resume performance as soon as possible.
20. Changes to this agreement
20.1 We may change this agreement. Every change is published as a new version with its own version identifier and fingerprint.
20.2 We will give you at least 30 days’ notice of a change in the seller portal and by email or SMS to the contact details on your account, before it takes effect.
20.3 A material change — one that reduces your payout, increases the commission or introduces a fee, changes the payout conditions, or reduces your rights — takes effect for you only when you accept the new version in the seller portal. Until you accept it, we may pause new listings and new orders on your account; if you do not wish to accept it, you may close your account under clause 17.4.
20.4 A change required by law or by a competent authority, or needed urgently to protect buyers or the security of the marketplace, may take effect sooner; we will tell you as early as we can.
21. Notices
21.1 We give you notices in the seller portal and by SMS or email to the phone number and email address on your account. Keep them up to date.
21.2 You give us notices through Support in the seller portal, or in writing to our registered address shown at the top of this agreement.
22. Governing law and disputes
22.1 This agreement is governed by the laws of the Federal Democratic Republic of Ethiopia.
22.2 If a dispute arises, either of us may raise it through Support or in writing. We will both try in good faith to settle it by negotiation for 30 days.
22.3 If it is not settled, either of us may bring it before the competent courts in Addis Ababa.
22.4 This clause does not prevent a buyer, you or us from bringing a complaint to a competent authority.
23. General
23.1 Entire agreement. This agreement, the Seller Privacy Notice and the policies and limits shown in the seller portal are the whole agreement between us about selling on the marketplace, and replace any earlier seller terms you accepted for Ethiopia.
23.2 Severability. If any part of this agreement is found invalid or unenforceable, the rest remains in force.
23.3 Transfer. You may not transfer this agreement or your seller account without our written consent. We may transfer this agreement to another company that takes over the operation of the marketplace in Ethiopia, and we will tell you if we do.
23.4 No waiver. If we do not enforce a right at once, we may still enforce it later.
24. Language
This agreement is provided in English and Amharic. Both versions are provided for your understanding; if they differ, the English version prevails. The acceptance record shows which language you read.
25. Electronic acceptance and your record
25.1 You accept this agreement by ticking the confirmation and pressing the accept button in the seller portal while signed in to your account. Under the Electronic Transaction Proclamation No. 1205/2020, information is not denied legal effect because it is in electronic form (Art. 7), an electronic method that identifies you and indicates your approval can meet a signature requirement (Art. 9), and a contract may be concluded by electronic messages (Art. 17).
25.2 When you accept, we keep a permanent record of: the agreement version, the fingerprint (a SHA-256 digest) of the exact published document, the language you read, your seller account and user identity, the basis of your authority, the method of acceptance, the date and time, and a one-way hash of your IP address. The seller portal shows the fingerprint before you accept.
25.3 If you accept on behalf of a business before we have verified your authority to sign for it, your acceptance is recorded as made on your own declaration of authority. We may ask the business’s authorised signatory to confirm the acceptance once their authority is verified.
